Welcome to Loomenio. These Terms of Service (“Terms”) govern your access to and use of the Loomenio website, application, and related services.

Loomenio is operated by Roman Lozunskyi, a sole trader based in Ukraine, operating under the brand Loomenio (“Loomenio”, “we”, “us”, or “our”).

By accessing or using Loomenio, you agree to these Terms. If you do not agree, please do not use the Service.

1. The Service

Loomenio is a web-based SaaS product for small craft manufacturers and handmade businesses. It helps users manage materials, products, recipes/BOMs, inventory movements, stock alerts, and basic production workflows.

We may update, improve, or change the Service from time to time.

2. Eligibility and Accounts

You may use the Service only if you can legally enter into a binding agreement.

To use certain features, you may need to create an account. You agree to provide accurate information, keep your login credentials secure, and remain responsible for activity under your account.

3. Subscriptions and Billing

Loomenio may offer paid plans on a subscription basis. Prices, plan details, and included features are described on our Pricing page.

By purchasing a subscription, you authorize us and our payment provider to charge the applicable fees and taxes using your selected payment method.

Unless stated otherwise, subscriptions renew automatically at the end of each billing period until canceled.

You may cancel renewal before the next billing date. Cancellation usually takes effect at the end of the current paid period.

4. Free Trial

We may offer a free trial for certain plans or features. Trial eligibility may be limited. If a payment method is required and you do not cancel before the trial ends, the trial may automatically convert into a paid subscription.

We may modify or end a free trial offer at any time.

5. Acceptable Use

You agree not to misuse the Service.

You must not:

• use the Service for unlawful or fraudulent purposes;
• attempt to gain unauthorized access to the Service or related systems;
• interfere with the operation or security of the Service;
• copy, reverse engineer, resell, or exploit the Service except as allowed by law;
• upload harmful code or malicious software.

6. User Data

You retain ownership of the data and content you submit to the Service (“User Data”).

You grant us a limited right to host, process, store, and use User Data only as needed to provide, maintain, and improve the Service.

You are responsible for the accuracy and legality of your User Data.

The Service, including its software, content, design, and branding, is owned by or licensed to Loomenio and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business use, subject to these Terms.

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted, error-free, or secure access at all times.

We may change, suspend, or update parts of the Service for maintenance, legal, operational, or security reasons.

9. Termination

You may stop using the Service at any time.

We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or if we need to do so for legal, operational, or security reasons.

10. Disclaimer

The Service is provided on an “as is” and “as available” basis.

To the extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

11. Limitation of Liability

To the maximum extent permitted by law, Loomenio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities.

To the maximum extent permitted by law, our total liability related to the Service will not exceed the amount you paid to us for the Service during the 12 months before the event giving rise to the claim.

12. Dispute Resolution

These Terms will be interpreted and enforced in accordance with applicable law. If a dispute arises, the parties will first try to resolve it informally and in good faith before taking formal legal action.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may update the date above or provide notice through the Service or by email.

Continued use of the Service after updated Terms become effective means you accept the updated Terms.
